Welcome to zPic LLC ("zPic", "we", "us", or "our"). These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you") and zPic LLC governing your access to and use of our website, software, and generative artificial intelligence tools (collectively, the "Services").

BY CREATING AN ACCOUNT, ACCESSING THE PLATFORM, PURCHASING CREDITS/SUBSCRIPTIONS, OR UPLOADING ANY CONTENT, YOU AFFIRM THAT YOU ARE AT LEAST 18 YEARS OLD (OR 21 IN APPLICABLE JURISDICTIONS) AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

1. Eligibility & Age Restriction (18+)

  1. Age Requirement: The Services allow the generation and viewing of adult-oriented and mature content. You must be at least eighteen (18) years of age (or twenty-one (21) years of age where required by local law) to access or use the Services.
  2. Age Verification: You represent and warrant that you meet this age requirement. We reserve the right to deploy automated age-verification mechanisms or request government-issued identification prior to account activation or credit purchases. Providing false age documentation is a violation of these Terms and may constitute a criminal offense.

2. Services & Generative AI Functionality

  1. Nature of Services: zPic provides machine-learning and artificial-intelligence-assisted tools allowing users to input text prompts, images, video, audio, or other media ("User Inputs") to generate synthetic image, video, and audio assets ("Generated Outputs").
  2. Synthetic Nature: All characters, scenes, and audio produced by our default generative models are entirely computer-generated and fictitious. Any resemblance to real persons, living or deceased, is strictly unintentional, except where explicitly uploaded by the user in compliance with Section 3.

3. Prohibited Content & Strict Acceptable Use Policy

zPic enforces a strict, zero-tolerance policy regarding illegal, exploitative, and non-consensual content. You agree never to submit User Inputs or attempt to produce Generated Outputs that involve:

  1. Child Sexual Abuse Material (CSAM) / Minors: Any depiction, generation, or sexualization of persons under the age of 18, including anime, illustrated, or "aged-down" minor depictions (e.g., lolicon/shotacon). Any attempt to generate CSAM will result in immediate and permanent termination of your account, forfeiture of all balances, and immediate reporting to the National Center for Missing & Exploited Children (NCMEC) and federal/international law enforcement.
  2. Non-Consensual Intimate Imagery (NCII / Deepfakes): Uploading images, videos, or voices of real persons (celebrities, public figures, peers, or non-consenting individuals) to generate nude, sexually explicit, defamatory, or deceptive content.
  3. Lack of Rights/Consent: Uploading any media containing third-party copyrights, likenesses, or biometric data unless you hold verified, written, irrevocable authorization from every depicted individual and copyright holder.
  4. Extreme Violence & Non-Consensual Harm: Depictions of sexual assault, torture, non-consensual sexual acts, self-harm, bestiality, necrophilia, or terrorism.
  5. System Abuse: Reverse-engineering model weights, bypassing safety filters, using automated scraping bots, or conducting security vulnerability exploits against zPic infrastructure.

4. User Representations, Warranties & Indemnification

  1. User Warranties: You represent and warrant that:
    • You own or possess all necessary licenses, releases, and legal rights to all User Inputs.
    • No person depicted in your User Inputs is under 18 years of age.
    • If User Inputs depict any living adult, you have documented proof of their express written consent to be processed by an AI platform.
  2. Indemnification: You agree to defend, indemnify, and hold harmless zPic LLC, its directors, officers, employees, affiliates, and payment processing partners (including CCBill) from and against any claims, liabilities, damages, losses, or legal expenses (including reasonable attorney fees) arising from: (a) your breach of these Terms, (b) your User Inputs, or (c) any third-party claims alleging that your Generated Outputs infringe intellectual property rights, violate privacy, or constitute non-consensual deepfakes.

5. Intellectual Property Rights & Content Ownership

  1. User Inputs: You retain ownership of your original User Inputs. You grant zPic a worldwide, non-exclusive, royalty-free license to store, process, and transmit your User Inputs solely as necessary to operate, improve, and deliver the Services.
  2. Generated Outputs: To the fullest extent permitted by applicable copyright law, zPic assigns to you any ownership rights it holds in the Generated Outputs, subject to your full compliance with these Terms. You acknowledge that AI-generated assets may not enjoy copyright protection under certain jurisdictions.
  3. Service IP: All proprietary algorithms, interfaces, website design, trademarks, and documentation remain the exclusive property of zPic LLC.

6. Billing, Payments & Cancellations (CCBill Processing)

  1. Authorized Billing Processor: All payment transactions on zPic are processed through our third-party billing partner.
  2. Subscription Terms & Recurring Billing: If you purchase a recurring subscription, your payment instrument will be billed on a recurring cycle (e.g., monthly) at the current advertised rate until canceled.
  3. Cancellation Policy: You may cancel your subscription at any time by:
    • Accessing your account settings on zPic and selecting "Cancel Subscription".
      Cancellations become effective at the end of the current paid billing cycle.
  4. Refund Policy: Due to the real-time operational computational costs of cloud GPU rendering, all sales, subscriptions, and token/credit pack purchases are non-refundable once rendering services have been initiated or credits consumed. If you experience technical server errors or billing inaccuracies, contact zPic Support at support@zpic.ai within seven (7) days of the transaction.
  5. Chargebacks: Initiating fraudulent chargebacks constitutes a violation of these Terms. Accounts associated with fraudulent disputes will be terminated immediately, blacklisted, and submitted to credit-risk databases.

7. Content Moderation, Reporting & Rapid Takedown Policy

  1. Automated & Manual Review: zPic implements automated content detection, keyword filters, and visual screening to detect illicit media. We reserve the right to review inputs and outputs to investigate policy violations.
  2. Depicted Persons Takedown Process: If you are an individual and believe your likeness, name, or biometric appearance has been used without your consent to generate imagery on our platform, submit an urgent takedown request to support@zpic.ai with:
    • Identification showing you are the individual depicted;
    • URL, generation ID, or screenshot of the infringing content.
      Takedown SLA: We treat non-consensual intimate imagery with top urgency and will remove access to reported non-consensual or unlawful media within forty-eight (48) hours or less upon verification.
  3. DMCA / Intellectual Property Complaints: For copyright infringement notices, please contact our designated agent:

      Include standard 17 U.S.C. § 512(c) requirements (description of copyrighted work, URL/location, statement of good faith, and physical or electronic signature).

8. 18 U.S.C. § 2257 Exemption Statement

All digital assets, synthetic images, animated characters, and virtual videos rendered natively by zPic's automated generative systems are entirely computer-generated and do not depict real human beings performing sexual acts. As such, they are exempt from the record-keeping and labeling requirements of 18 U.S.C. § 2257 and 28 C.F.R. Part 75. Users uploading real performer media represent that all depicted parties are legal adults who executed applicable releases.

9. Disclaimer of Warranties & Limitation of Liability

  1. As-Is Provision: THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. zPic LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  2. Limitation: TO THE MAXIMUM EXTENT PERMITTED BY LAW, zPic LLC AND CCBILL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF $100 OR THE FEES PAID BY YOU TO zPic IN THE PAST THREE (3) MONTHS.

10. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the state courts located in Sussex County, Delaware, or the United States District Court for the District of Delaware, and each party irrevocably submits to the exclusive personal jurisdiction of such courts.
